1. Agreement to Terms

These Terms of Use constitute a legally binding agreement between you and MiraMare Ristorante ("we," "us," or "our") concerning your access to and use of our website at miramarenaples.com (the "Site"). By accessing or using the Site, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. The Site

The Site provides information about our restaurant, including menus, hours, and location, and provides access to third-party services for reservations, online ordering, and private event inquiries. The Site does not process payments directly; ordering and reservations are completed through third-party providers.

3. Intellectual Property Rights

Unless otherwise indicated, the Site and its contents — including text, graphics, logos, images, and design — are owned by or licensed to us and are protected by copyright and trademark laws. You may access the Site for personal, non-commercial use. You may not copy, reproduce, republish, or distribute any part of the Site without our prior written permission.

4. Prohibited Uses

You agree not to use the Site to:

  • Violate any applicable law or regulation;
  • Attempt to gain unauthorized access to the Site or its systems;
  • Use any automated means to scrape, harvest, or collect data from the Site;
  • Interfere with or disrupt the operation or security of the Site;
  • Introduce malware or other harmful code.

5. Third-Party Websites and Services

The Site contains links to, and embeds content from, third-party websites and services — including OpenTable (reservations), Toast (online ordering and gift cards), and social media platforms. We do not own or control these third parties and are not responsible for their content, products, services, or privacy practices. Your use of any third-party service is at your own risk and subject to that third party's terms and policies.

6. Reservations, Orders, and Inquiries

Reservations and orders placed through third-party providers are subject to those providers' terms. Private event inquiries submitted through the Site are requests only and do not constitute a confirmed booking until confirmed by us directly.

7. Disclaimer of Warranties

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that information on the Site (including menus, hours, and pricing) is accurate, complete, or current.

8. Google Maps

Portions of the Site use Google Maps features and content, including Street View. Your use of Google Maps features and content is subject to the then-current Google Maps/Google Earth Additional Terms of Service (opens in a new tab) and the Google Privacy Policy (opens in a new tab). By using the Google Maps features on the Site, you agree to be bound by Google's Terms of Service.

9. Limitation of Liability

To the fullest extent permitted by law, in no event will we or our directors, employees, or agents be liable to you for any indirect, consequential, incidental, or punitive damages arising from your use of the Site. In no event will our total liability to you for all claims exceed one hundred U.S. dollars (USD $100.00).

10. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Site or your violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising from these Terms or your use of the Site will first be addressed through informal negotiations for at least thirty (30) days. If unresolved, the dispute will be resolved by binding arbitration conducted in Collier County, Florida. If, for any reason, a dispute proceeds in court rather than arbitration, it will be brought in the state or federal courts located in Collier County, Florida.

12. Time Limit on Claims

Any claim arising out of or related to these Terms or the Site must be commenced within one (1) year after the claim arose; otherwise, it is permanently barred.

13. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by a revised "Last updated" date. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
